Carolinas AGC BylawsARTICLE XII - COMMITTEES Section 1. Appointment The Chair, subject to the approval of the Board of Directors, shall annually appoint, designate the Chairmen and prescribe the duties of standing, special or subcommittees as may be required by the Bylaws or as he may find necessary. The functions of all standing and special committees shall be advisory only, unless power to act for the Association is specifically conferred by the Board upon special circumstances. Section 2. Nominating Committees (a) Officers and Directors At-Large The Chair shall appoint a nominating committee which shall consist of five (5) regular members not holding office of whom not more than three (3) shall be past chairmen of the Association to include the Immediate Past Chair who shall serve as Chair. One member of the nominating committee shall have served on the nominating committee the previous year. The members of the committee shall be announced to the membership one hundred thirty (130) days prior to the annual membership meeting or start of the fiscal year, whichever is applicable. (b) Division Chairmen The Occupational Division Chairmen will appoint a nominating committee one hundred and thirty (130) days prior to the annual membership meeting, or start of the fiscal year, whichever is applicable. It shall consist of not less than three (3) members of that division who shall nominate one person for the office of Chair and one person for the office of Vice Chair of that division. (c) Subcontractor/Specialty Contractor and Supplier/Service Company Member Division See Article IX - Manner of Election and Term of Officers and Directors and Subcontractor/Specialty Contractor and Supplier/Service Company Member Advisory Boards, Section 3. Section 3. Resolutions Committee A Resolutions Committee will be appointed when necessary at each annual membership meeting to review, coordinate and assure consistency of statements and policy recommendations originating with other committees, division meetings or individual members. No policy statement or resolution can be acted upon by the annual membership meeting until a recommendation is submitted by the Resolutions Committee. The Committee will report, with recommendations, to the annual membership meeting, either favorably or unfavorably all resolutions submitted as above.
