ARTICLE X - EXECUTIVE COMMITTEE

Section 1. Composition

The Executive Committee shall consist of the Chair, Senior Vice Chair, Vice-Chair and Treasurer, Vice Chair, and Immediate Past Chair. The President / CEO and Secretary shall be an ex-officio member of the Executive Committee, without vote. In the event that one or more of the occupational divisions is not represented on the Executive Committee, the Chair of the division or divisions not represented will automatically become a member of the Executive Committee with right to vote.

The Vice Chair and Treasurer serves as Treasurer during the year following the first year on the Executive Committee as Vice Chair.

Section 2. Authority and Responsibility

The Executive Committee shall act in place and instead of the Board of Directors on all matters requiring Board action excepting those matters specifically reserved to the Board by these Bylaws. Action of the Executive Committee shall be reported to the Board for ratification by mail or at the next Board meeting.

Section 3. Duties

The Executive Committee shall meet at the call of the Chair to consider and act upon matters pertaining to the administration of the internal affairs of the Association as shall require such action during the interim between meetings of the Board of Directors, and to consider and act upon such business, functions, or matters as are from time to time referred to it by the Board of Directors.

Section 4. Quorum

A majority of the Executive Committee shall constitute a quorum at any duly called meeting of the committee.
