Carolinas AGC BylawsARTICLE VI - MEETINGS OF MEMBERS AND VOTING Section 1. Annual Membership Meeting The Association shall hold an annual membership meeting at a time and place selected by the Board of Directors.. Members shall be given at least twenty-one (21) days advance notice of an annual meeting. Section 2. Special Membership Meeting A special membership meeting of the Association may be called by a majority vote of the entire membership of the Board of Directors at any time. A special membership meeting shall be called by the President and CEO upon receipt of a written request signed by one tenth (1/10) of the regular members in good standing, within thirty (30) days after the filing of such request with the President and CEO. Notice of a special meeting must be mailed to each regular member at least twenty-one (21) days prior to the date of the meeting, giving time, date, place and the specific purpose for which the meeting is called and no other business may be considered at that time. Section 3. Membership Authority The original and final authority of the Association is with the membership. Actions pertaining to the continuation of the Association, actions concerning increases in its dues and/or fees and actions concerning the election of officers and directors and the length of their terms shall be approved by the membership before becoming effective and the provisions of Article XIV Amendments may be changed only by the membership after due notice. Such actions will be taken at either an annual or special meeting of the membership. Section 4. Quorum Voting and Proxies One tenth (1/10) of the regular members in good standing present in person or by proxy shall constitute a quorum for the transaction of business at any membership meeting. Each regular member who is in good standing and having a representative present in person or by proxy is entitled to one (1) vote upon any action taken at any Association meeting. Unless otherwise specifically provided in the Bylaws of the Association, a majority vote of the regular members in good standing present in person or by proxy at any meeting of the Association shall be sufficient for the transaction of business. A regular member may vote either in person or by one or more proxies authorized by written appointment of proxies signed by the regular member or by his duly authorized attorney-in-fact. An appointment of a proxy is valid for eleven months from the date of its execution, unless a different period is expressly provided in the appointment form. Proxy forms may be obtained from the Association. If a regular member fails to designate a specific individual to act as his representative and vote on his behalf, the Chair or Vice Chairmen are hereby authorized as the regular member's representative to cast his vote in accordance with his proxy. Section 5. Division Meetings Occupational divisions will meet at the annual membership meeting and at least one (1) additional meeting will be held between the annual membership meeting either as a division or by sections. A report of such meeting shall be made to the Board of Directors for its consideration and action.
