Carolinas AGC BylawsARTICLE VII - OFFICERS Section 1. Composition The officers of the Association shall be the Chair, Senior Vice Chair, Vice Chair and Treasurer, Vice Chair, President / CEO and Secretary. The Chair, Senior Vice Chair and Vice Chair shall represent at least two (2) of the three (3) occupational divisions of the Association. The Chair shall not be selected from the same occupational division for three (3) consecutive years. Section 2. Duties of Chair The office of Chair shall be the highest honor which the Association can bestow upon one of its members. The Chair shall serve as Chair of both the Board of Directors and Executive Committee. The Chair shall also serve as ex-officio, with right to vote, on all committees except the nominating committees. The Chair shall make all required appointments of standing and special committees and trustees with the approval of the Board of Directors (see Article XII Committees, Section 2., Nominating Committees). At the annual membership meeting of the Association and at such other times as the Chair shall deem proper, the Chair shall communicate to the members such matters and make such suggestions as may in his/her opinion tend to promote the welfare and increase the usefulness of the Association. The Chair shall perform such other duties as are necessarily incidental to the office of Chair or as may be prescribed by the Board of Directors. Section 3. Duties of Senior Vice Chair The Senior Vice Chair shall be responsible to the Chair for the monitoring and coordination of Association activities relating to state and federal legislative activities, construction awareness and communications, long and short range planning, subcontractor relations and ethical practices. To assure coordination of association activities, the Senior Vice Chair will attend the Building and Utility Division meetings. The Senior Vice Chair will report to the Chair, when necessary, and to the Board of Directors at each regularly scheduled board meeting. The Chair will ensure effective coordination between the Association and National AGC activities and shall perform such other duties as the Chair may direct. The Senior Vice Chair shall perform the duties of the Chair in the event of the latter's inability to serve. The Senior Vice Chair shall be a member of the Executive Committee. Section 4. Duties of Vice Chair and Treasurer The Vice Chair and Treasurer shall be custodian of all funds of the Association. He/She shall be responsible for the disbursement of funds and shall report on the financial condition of the Association at all meetings of the Board of Directors and at other times when called upon by the Chair. The Vice Chair and Treasurer shall prepare an annual budget to be submitted to the Executive Committee and the Board of Directors, for adoption and approval. The Vice Chair and Treasurer shall submit the budget to the membership as a report during the annual meeting in accord with Article XIII, Section 3. At the end of each fiscal year, the Vice Chair and Treasurer shall prepare and submit to the Board of Directors an annual financial report which shall reflect an audit by a certified public accountant. At the expiration of the Vice Chair and Treasurer’s term of office that person shall deliver over to the successor all books, money, and other property in his charge, or, in the absence of a successor shall deliver such properties to the Chair. The Vice Chair and Treasurer together with any other officers or persons having access to the funds of the Association shall be bonded in an amount determined by the Board of Directors. The Vice Chair and Treasurer shall be a member of the Executive Committee. Such duties of the Vice Chair and Treasurer as may be specified by the Board of Directors may be delegated to the President / CEO. Section 5. Duties of Vice Chair The Vice Chair shall be responsible to the Chair for the monitoring and coordination of all Association activities relating to education, labor, equal employment opportunity, accident prevention and minority business enterprise. The Vice Chair will report to the Chair and the Board of Directors at each regularly scheduled board meeting. The Vice Chair shall perform such other duties as the Chair may direct. The Vice Chair shall be a member of the Executive Committee. Section 6 Duties of President / CEO and Secretary The President / CEO and Secretary shall be a full time salaried employee appointed by the Board of Directors and shall be responsible for administration and management of the Association and duties incidental thereof. The President / CEO and Secretary shall be a member ex-officio of the Executive Committee, all standing and special committees, excepting nominating committees, but without vote. The President / CEO and Secretary shall keep a record of all committee proceedings and submit an annual report to the membership at the annual membership meeting. With procedures approved by the Executive Committee, the President / CEO and Secretary will employ, discharge and determine salaries and benefits of whatever help is required for the performance of the President / CEO and Secretary duties. The President / CEO and Secretary shall define the duties of the staff, supervise their performance, and establish their titles. The duties and salary of the President / CEO and Secretary shall be determined by the Board of Directors. The President / CEO and Secretary shall approve applications for membership and report to the Board of Directors at each meeting on the status of membership development.
